Welcome to Fraxional, LLC (“Fraxional”). By accessing our website and purchasing any products, including but not limited to compliance and human resources policy templates, you agree to abide by these Terms and Conditions ("Terms"). These Terms form a legally binding agreement between you ("Customer" or "You") and Fraxional, LLC ("Fraxional," "we," "us," or "our"). If you do not agree with these Terms, please do not access our website or make purchases.
Fraxional provides fractional compliance and human resource officer services and offers downloadable policy templates for business use. These templates are intended for use by businesses and are not to be used for personal purposes. Non-customized templates are provided in a downloadable format upon purchase.
No account creation is necessary to purchase and download products from our website.
All policy templates and materials provided by Fraxional remain the intellectual property of Fraxional. Your purchase grants you a limited, non-exclusive, non-transferable license to use the templates for your business’s internal purposes only.
Fraxional is not responsible for any direct, indirect, incidental, or consequential damages arising from the use of our templates or services. All templates are provided "as-is" without warranties of any kind. Fraxional does not guarantee that the non-customized templates will meet specific compliance requirements for any state, including New York, or any other jurisdiction. To the extent that any damages are asserted against Fraxional, Customer hereby consents and agrees that any damages are limited to the amount of money that Customer has actually paid to Fraxional and shall never exceed the amount of money that Customer has paid to Fraxional.
Any claims arising out of or relating to the use of our website, products, or services must be initiated within one (1) year from the date of the incident. Claims brought after this time period will be deemed waived.
7. Indemnification
To the fullest extent permitted by law, Customer shall indemnify, defend and hold harmless Fraxional, its officers, employees, agents, representatives, consultants, and contractors from and against any and all loss, costs, penalties, fines, damages, claims, expenses (including reasonable attorneys’ fees) or liabilities arising out of, resulting from, or in connection with the services contemplated by the Contract.
Any disputes arising from or relating to these Terms, including the use of our website, products, or services, shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in Albany County, New York. By agreeing to these Terms, you waive your right to a trial by jury.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflicts of law principles. You agree that any legal action or proceeding relating to these Terms, unless subject to arbitration, shall be brought exclusively in the state or federal courts located in Albany County, New York.
We reserve the right to update or modify these Terms at any time. Changes to the Terms will be posted on this page, and continued use of our website or services after any such updates shall constitute your acceptance of the revised Terms.
